Terms of Service

These are the terms between you and Sokohuru Ltd. They cover how the marketplace works, what you can and cannot do, and what happens if something goes wrong.

1. Overview

Sokohuru Ltd ("Sokohuru", "we", "us") operates a marketplace that connects creators with brands across Kenya, Nigeria, South Africa and Uganda. These Terms govern your use of our website, mobile apps and APIs (together, the "Platform").

By creating an account, signing a brief, or otherwise using the Platform, you agree to be bound by these Terms. If you are using the Platform on behalf of an organisation, you confirm you have authority to bind that organisation.

2. Accounts and eligibility

You must be at least 18 years old, or the legal age of majority in your country, to create an account. Creators must be the sole owner and operator of any social handles connected to the account.

You are responsible for the activity on your account. Keep your password secret, turn on two-factor authentication, and notify us at security@sokohuru.com if you suspect unauthorised access. We may suspend or terminate accounts that violate these Terms.

3. Campaigns and contracts

When a creator accepts a brief, a binding contract is formed between the creator and the brand on the terms of that brief — deliverables, deadlines, usage rights, fees and exclusivity. Sokohuru acts as a marketplace facilitator and is not a party to that contract.

Both parties agree to deliver in good faith. Disputes are first raised through the in-app resolution tool. If they cannot be resolved within 14 days, Sokohuru may, at its discretion, hold or release funds in line with the dispute outcome.

4. Payments, fees and taxes

Brands pay campaign fees upfront. Sokohuru holds funds in escrow and releases them to creators once deliverables are approved, or automatically 14 days after the deliverable's due date if no objection is raised.

Our platform fee is set out in your subscription or per-campaign agreement. Where applicable, withholding tax, VAT or other local taxes will be deducted in line with the law of your country of residence. Creators are responsible for declaring their income.

5. Content and intellectual property

Creators retain ownership of their content. By submitting content to a campaign, the creator grants the brand the usage rights stated in the brief — typically a non-exclusive licence for the campaign window, or extended/perpetual rights where explicitly priced.

Sokohuru receives a limited licence to host, display and promote campaign content on the Platform and in marketing materials, unless the creator opts out from their profile settings.

6. Prohibited conduct

You agree not to use the Platform to: post illegal, deceptive, hateful or sexually explicit content; misrepresent your audience or engagement metrics; circumvent the Platform to negotiate or pay off-platform once a brief is matched; or interfere with the Platform's operation.

We may remove content, suspend accounts and refer matters to law enforcement where warranted.

7. Disclaimers and liability

The Platform is provided "as is". To the maximum extent permitted by law, Sokohuru excludes implied warranties of merchantability and fitness for a particular purpose, and our total aggregate liability arising out of these Terms is limited to the greater of (a) fees paid by you in the 12 months preceding the claim, or (b) USD 1,000.

Nothing in these Terms limits liability that cannot be limited under applicable law — including fraud, death or personal injury caused by negligence.

8. Termination

You may close your account at any time from Settings. We may suspend or terminate access for material breach of these Terms, prolonged inactivity, or where required by law. Sections of these Terms that by their nature should survive termination — payment, IP licences, liability — will do so.

9. Governing law and dispute resolution

These Terms are governed by the laws of Kenya. Disputes will be resolved by arbitration seated in Nairobi under the Nairobi Centre for International Arbitration Rules, conducted in English. Either party may seek injunctive relief in court where appropriate.

10. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified at least 30 days before they take effect, by email and by an in-app banner. Continuing to use the Platform after the effective date means you accept the new Terms.
